Acceptance of Terms

By accessing or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access or use our website.

Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of FolioReady and is protected by intellectual property laws. You may not use, reproduce, distribute, or modify any content without our prior written consent.

Use of Services

You agree to:

  • use our services only for lawful purposes and in compliance with these Terms and Conditions; and
  • not use our services to transmit any harmful, offensive, or illegal content.

Where you breach these terms or engage in prohibited conduct, we may suspend or terminate your access to our services. Other than in urgent cases (such as a security risk, suspected unlawful conduct, or to comply with the law), we will give you reasonable notice and an opportunity to remedy the breach before suspending or terminating your access.

Forms, Files and Submissions

FolioReady does not claim ownership of any information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials you submit or make available on or through the FolioReady Service (“User Content”). As between FolioReady and you, you retain all rights to your Forms and Submissions.

FolioReady does not pre-screen Forms or Submissions, and you agree that you are solely responsible for all of your Forms and User Submissions. Data stored within the FolioReady Service received via your forms is owned by you. FolioReady will not access your data except as necessary to provide the Service, comply with applicable laws, or as authorised by you. By submitting User Content, you grant FolioReady a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, and process your User Content solely for the purpose of providing the FolioReady Service to you.

You represent and warrant that you have all necessary rights and permissions to submit the User Content and that such content does not infringe any third-party rights or violate any applicable laws.

AI-Assisted Features

FolioReady offers features that use third-party AI providers to assist with tasks such as extracting data from ingested documents and submissions, generating synopses, and suggesting design content. The "AI Processing" section of our Privacy Policy describes which providers may receive your data and the data flows involved.

AI-assisted features generate suggestions. You are responsible for reviewing AI-generated extractions, summaries, and content before relying on them. FolioReady does not warrant the accuracy of AI output and is not liable for decisions made on the basis of it.

If you supply your own AI provider key, your agreement with that provider applies to calls made with your key. You are responsible for that provider's usage charges and for complying with that provider's acceptable-use terms. For these calls, FolioReady's role is limited to securely transmitting the request and returning the response.

Fees and Overage Charges

Paid plans include monthly allowances for documents, AI tokens, and storage. Usage beyond your plan's allowance is billed at the overage rates shown for your plan. Because part of these costs reflects third-party AI model pricing, overage rates may change to reflect changes in that underlying model pricing. We will give at least 30 days' notice before any increase to overage rates takes effect.

Unless stated otherwise, all fees are exclusive of GST and any other applicable taxes, which will be added to your invoice where required by law. Where GST applies, we will provide a tax invoice.

Prohibitions

You must not do any act that we would deem to be inappropriate, is unlawful or is prohibited by any laws applicable to our website, including but not limited to:

  • any act that would constitute a breach of either the privacy (including uploading private or personal information without an individual’s consent) or any other of the legal rights of individuals;
  • commit or encourage a criminal offense;
  • using this website to defame or libel us, our employees or other individuals;
  • transmit or distribute a virus, trojan, worm, logic bomb or any other material which is malicious or technologically harmful;
  • posting or transmitting to this website any non-authorised material, including but not limited to material that is, in our reasonable opinion, likely to cause annoyance, or which is defamatory, racist, obscene, threatening, pornographic, or otherwise detrimental to or in violation of our systems or a third party’s systems or network security.

Where material breaches these terms, we may remove it. We will give you notice where it is reasonable and practicable to do so; in urgent cases (such as a security risk, suspected unlawful content, or to comply with the law) we may remove material immediately and notify you afterwards.

User Accounts

Some services on our website may require you to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Cancellation and Refunds

You may cancel a paid plan at any time. Cancellation takes effect at the end of your current billing period, and you will continue to have access until then. Unless required by law or expressly stated otherwise, fees already paid are non-refundable, and we do not provide pro-rata refunds for partial billing periods. Nothing in this section limits any refund or other remedy you are entitled to under the Australian Consumer Law (see "Limitation of Liability").

Limitation of Liability

Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

Where our liability for a failure to comply with a guarantee that cannot be excluded may be limited, our liability is limited (at our option) to, in the case of services: re-supplying the services, or paying the cost of having the services re-supplied; and, in the case of goods: replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of any of these.

Subject to the rights and remedies described above, and to the fullest extent permitted by law, FolioReady is not liable for any indirect, incidental, special, or consequential loss or damage, or for any loss of profits, revenue, or data, arising out of or in any way connected with your use of our website or services.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. You and FolioReady submit to the non-exclusive jurisdiction of the courts of that State and the courts competent to hear appeals from them.
